The contract is embodied in a larger "Memorandum Agreement" which provided for the sale of all of the operating assets of the Wahiawa Transport System, Ltd., of which the plaintiff was president and majority shareholder, to the purchaser-defendant-appellant Honolulu Rapid Transit Co. (HRT).
